Terms of Service

These terms apply to odinofficial.dev and to the services Odin Official LLC (“Odin Official”, “we”, “us”) provides: website and software development, AI systems, cybersecurity work, and website hosting. By using the site or paying for a service, you agree to them. Questions go to josh@odinofficial.dev.

1. Project work

Every project is scoped in a written proposal or statement of work that sets the deliverables, price, schedule, and payment milestones. That document controls the project. Where it conflicts with these terms, the proposal or statement of work wins. Changes to scope are agreed in writing before the extra work starts.

Where we say we will beat another quote, that applies to a written quote from another provider for the same scope, delivered to us before our proposal is signed, and it does not apply to hosting plans, which have fixed prices.

2. Hosting plans

  • Hosting plans are billed monthly, in advance, and renew automatically each month until cancelled. Current plans and prices are listed on our home page.
  • Hosting covers sites we built or have agreed to take over. What each plan includes is described on the home page and on your invoice. Included content-change time does not roll over to the next month.
  • You can cancel any time from the client billing portal or by emailing us. Cancellation takes effect at the end of the billing period you have already paid for. We do not refund partial months.
  • When you leave, we will help move your site to a new host and hand over your files and accounts.
  • On the Secure plan, incident response covers up to 2 hours per incident. Time beyond that is billed at our hourly rate, and we tell you before it starts.
  • We will give at least 30 days' notice before changing the price of your plan.
  • We monitor every hosted site and respond to outages, but we do not guarantee any specific uptime unless your proposal says otherwise. Our hosting depends on third-party infrastructure that can fail outside our control.

3. Security work

We work to make your systems harder to break into, and we tell you plainly what we found and what we changed. No one can make a system immune to attack, and we do not promise that a breach will never happen. Security testing is done only on systems you own or are authorized to have tested, and only within the scope you approve in writing.

4. Payment

Invoices are sent and paid through Stripe. Unless the invoice says otherwise, payment is due within 15 days. If a payment is more than 15 days late, we may pause work or hosting after giving you notice, and we will restore it once the balance is paid. You are responsible for any taxes that apply to our services, other than taxes on our income.

5. Your responsibilities

  • Give us accurate information and the access we need to do the work.
  • Only send us content you have the right to use: text, images, logos, and data.
  • Do not use a site we host for anything illegal, for spam or malware, or to infringe someone else's rights. We may suspend a site that does, and will tell you why.
  • Keep your own copies of anything you cannot afford to lose.

You are responsible for the content and materials you supply. If someone makes a claim against Odin Official because of that content, such as a copyright or trademark claim over an image you provided, you agree to cover our reasonable costs of dealing with it, including any amount we have to pay.

6. Ownership

Once a project is paid in full, you own the work we built for you: the code, the design, and the content created for your project. We keep ownership of our own pre-existing tools, libraries, and general know-how, and you get a permanent license to use any of them that are part of your project. Open-source components stay under their own licenses. We will not show your project in our portfolio or name you as a client without your permission.

7. Confidentiality

We keep your business information, credentials, and anything you mark as confidential private, and use it only to do the work. We will sign your NDA if you have one.

8. Limits of liability

We stand behind our work. If you report a defect in what we built within 30 days of delivery, or within the period your proposal states, we fix it at no charge. Beyond that, the site and our services are provided as described, without other warranties. To the extent the law allows, Odin Official is not liable for indirect or consequential losses such as lost profits or lost data, and our total liability for any claim is limited to the amount you paid us for the service involved in the 12 months before the claim.

9. Governing law

These terms are governed by the laws of the State of Montana. Any dispute will be handled in the state or federal courts serving Sanders County, Montana. Before going to court, both sides agree to try to resolve it directly in good faith.

10. Changes

We may update these terms. The date at the top shows the latest version. Changes do not apply to a signed proposal already in progress, and clients will hear from us directly about any change that affects their hosting plan.

11. Entire agreement

These terms, together with any signed proposal or statement of work, are the whole agreement between you and Odin Official for that work. If a court finds any part of them unenforceable, the rest still applies.
